This Affiliate "TOA" Terms of Agreement ("Agreement") describes the rights and obligations of ClassOf1, KUE Digital Inc (Affiliate Management Company) and the Web Site Owner who has agreed to become an affiliate partner through the Commission Junction network, and KUE Digital Inc. Affiliate (and who shall henceforth be referred to as the "Affiliate" or "you") with ClassOf1 . By becoming an Affiliate, you agree to each of the terms and conditions set forth below and agree to abide by all terms as stated herein.
Approval and Authority: ClassOf1 and KUE Digital Inc reserves the right to reject any Web site or affiliate if we determine, in our sole discretion and following our review of your site, that your site is unsuitable for any reason, including, but not limited to, inclusion of content that is in any way unlawful, harmful, threatening, defamatory, obscene, harassing, or racially, ethnically, or otherwise objectionable, or that includes or promotes sexually explicit materials, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation or age. ClassOf1 and KUE Digital Inc has the right in its sole and absolute discretion to reject your application, or to terminate your participation in the program, for any reason.
Payments and Reports: When you sign up with our third party affiliate tracking system Commission Junction (CJ.com), you will have access via username and password to view full commission and traffic reports 24 hours a day as well your payments will be handled through Commission Junction. Commissions will not be paid if ClassOf1 has determined one of the following problems with a sale; the sale was fraudulent and/ or the customer reversed the transaction (refund).
All commissions will be handled through Commission Junction to you our affiliate, checks will go out starting at amounts of $25.00 or more. Additional bonuses and bounties as awarded by ClassOf1 and KUE Digital Inc will be paid through Commission Junction at our own discretion.
Commission Tiers: The following commission levels are open and paid on "Qualifying Sales" (means a bone fide sale that a consumer completes through any shopping cart on our Web site within 30 days of click through to our site) to anyone who reaches sale amounts displayed in the following categorical tier structure.

Cookies: The ClassOf1 cookie will be set within Commission Junction for a 30 day period. Affiliates that send traffic through to our shopping carts through a link from their marketing efforts and who return within 30 days of their initial click and who complete a sale while your cookie remains active will be treated as a qualifying sale and you will get commissioned. We reserve the right to change the technology we employ to calculate commissions owed to you. You also agree to hold harmless KUE Digital Inc and ClassOf1 due to any tracking issues known or caused through either a natural or unknown technical issue suffered by and from Commission Junction.
Advertisements and Links: All appropriate media collateral including your affiliate tracking identification number will be generated through Commission Junction. Collateral for your Web site or e-mails can only be guaranteed to track properly if you retrieved it properly from Commission Junction. Your Obligations: You are solely responsible for development, operation, and maintenance of your affiliate Web site(s) e-mails, for selecting, generating and displaying links to Advertisements on the Affiliate Web site, and for all other content that appears on the Affiliate Web site. You will co-operate with Commission Junction as necessary to establish the linkage from Links to the ClassOf1 and KUE Digital Inc lead generation pages or web site through Commission Junctions facilities, which will enable Commission Junction to place cookie and other tracking code on the end user's computer to identify the CJ link as the source of traffic. You are responsible for monitoring and notifying ClassOf1 through KUE Digital Inc and Commission Junction of any malfunction of links and of links from the affiliate site to advertisements, or other problems with your participation in the ClassOf1 affiliate lead program. You acknowledge that you will not receive Commissions on non qualified sales if and while technical problems prevent Commission Junctions technology from tracking delivery of qualifying sales. You acknowledge that the software and other technology that Commission Junction uses to track qualifying sales and calculate Net commissions, is Commission Junctions confidential and proprietary technology.
You Agree: It is expresly agreed that notwithstanding any other provision of this agreement, in the event of any claim, breach or purported breach of this agreement by ClassOf1 and KUE Digital Inc, the remedy shall be limited to equitable remedies and an action at law for money damages in the state of Washington.
You understand and agree that our Affiliate termination guidelines are as follows:
ClassOf1 affiliate partners will be terminated immediately if one or more of the following is found.
- Creates a site that copies, resembles the look and feel of, or otherwise creates the impression that the Affiliate Site is the ClassOf1 Web site.
- Operate or utilize a Web site or e-mail link to Web sites that contain or promote any of these types of content: libelous, defamatory, obscene, pornographic, abusive, violent, bigoted, hate-oriented, illegal, cracking, hacking or warez, or that offer any illegal good or service, or link to a Web site(s) that do so.
- Engage in cyber-squatting or typo-squatting.
- Offering rebates, gift certificates, points or other rewards to end-users who submit orders through ClassOf1 links without our permission. Affiliates may not incentivize the user in any way to complete a sale.
- Purchasing or bidding for placement of keywords that are not allowable search terms as designated by ClassOf1 or any variation or misspelling thereof, within any third party search engine or portal, including but not limited to AOL.com, Yahoo.com, MSN.com, Google.com, netscape.com, excite.com, overture.com, ask.com, looksmart.com, findwhat.com, inktomi.com, lycos.com, metacrawler.com and altavista.com.
- Submitting or encouraging others to complete sales at ClassOf1 in bad faith, such as (but not limited to) entering false information, encouraging non qualified sales to submit information with the intent to defraud Commission Junction, KUE Digital Inc, or ClassOf1.
- Accessing or attempting to access an area of the Commission Junction Web site or the ClassOf1 Web site for which access is not authorized.
- Making any representations regarding the relationship of Commission Junction with ClassOf1, or using any trademark of Commission Junction, KUE Digital Inc, or ClassOf1 without written consent unless given its prior written consent as to the specifics.
- Taking any action that could reasonably cause any customer confusion as to ClassOf1 relationship with affiliate, or as to the site on which any functions or transactions (such as search, order, and browse) are occurring.
- Not adhering to current SPAM-ACT compliancy laws in e-mails.
- Defaming or slandering ClassOf1, KUE Digital Inc, or Commission Junction's name or any employees or representatives as such, image, products or any other defamatory statement either electronically, in print, Web or media.
- Employing any technology to read, intercept, record, redirect, interpret, or fill in the contents of any electronic form or other materials that we serve to customers who click through Links to the ClassOf1 web site.
- Altering the content of any Advertisement that ClassOf1 or KUE Digital Inc provides, or creating advertisements with Links to the ClassOf1 web site not authorized by ClassOf1 or KUE Digital Inc.
- In any way modifying, redirecting, suppressing, or substituting the operation of any button, link, or other interactive feature to the ClassOf1 Web site from the affiliate site.
- Posting or serving any advertisements or promotional content around or in conjunction with the display of pages of the ClassOf1 Web site or ClassOf1 - branded pages of third party Web sites (such as through framing technology or pop-ups).
- Displaying any content of the ClassOf1 Web site or other proprietary ClassOf1 content except advertisements or links provided by ClassOf1 through Commission Junction.
- Issuing any press release, announcement, or promotional material that uses ClassOf1 name or trademarks without ClassOf1 direct approval upon issuance of an exact copy of media to be used.
- Making any warranty or representation concerning ClassOf1 products or services except those expresly stated by ClassOf1 in Advertisements and on the ClassOf1 Web site.
Except as expresly stated, ClassOf1 and KUE Digital Inc makes no representations or warranties, whether written, oral, express or implied, regarding this agreement, the program, and revenues you will receive from participation in the program. You agree to participate in the program at your own risk and agree to hold KUE Digital Inc and ClassOf1 harmless in any current, future claim for compensation or torte due to any issues suffered by you from entering this agreement to participate in our affiliate program.
